End-User Licence Agreement (EULA)

This End-User Licence Agreement (“EULA”) governs the rights and obligations between Brainwerk e.U. (“Licensor”) and the natural or legal person who acquires a Pro licence for SEOForge or ShieldForge (“Licensee”) in connection with the use of the respective software.
1. Subject
The subject of this Agreement is the grant of a time-limited, non-exclusive, non-transferable right of use to the Pro version of the respective software for the number of WordPress installations specified in the licence tier.
2. Free components / open source
The free base versions of SEOForge and ShieldForge are released under the GNU General Public License v2 or later (GPLv2-or-later). To the extent Pro components depend on or build upon such Free components, the respective GPL terms apply in addition; this EULA additionally governs the conditions for the Pro-specific feature extensions and cloud backend integrations.
3. Scope of use
(1) The Licensee may install the software on no more WordPress installations than allowed by the purchased tier (e.g. 1 Site, 5 Sites, Unlimited Sites).
(2) Use on staging, test and development environments that clearly belong to a production site is covered by the licence of that production site.
(3) Sub-licensing, reselling the licence or passing the Pro version to third parties – for consideration or not – is prohibited, unless a separate reseller agreement has been concluded.
4. Licence activation
(1) Activation of Pro features requires entry of a valid licence key and a connection to the licence backend (api.seoforge.eu or api.shieldforge.eu, plus the Merchant of Record).
(2) If the number of activated sites exceeds the limit allowed by the tier, further activations are technically blocked or a tier upgrade is recommended.
5. Term
The licence is structured as an annual subscription (see § 6 Terms). Upon expiry or termination the right to use Pro features ends; the last installed version remains functional but does not receive further updates or support.
6. Reverse engineering, IP rights
(1) All intellectual property rights (copyright, trademarks) in the Pro software remain with the Licensor.
(2) To the extent the software is accessible at PHP source-code level (as is technically the case for WordPress plugins), inspection of the code for security or audit purposes is permitted. However, publication, modification or sharing of the Pro components with third parties, or use beyond the agreed tier, is prohibited.
7. Warranty
(1) We provide statutory warranties. Software is made available in the form current at the time of provision.
(2) Error-free and uninterrupted operation in every conceivable WordPress / PHP / theme / plugin combination cannot be guaranteed. Known incompatibilities are documented in the plugin release notes.
8. Liability
Liability is governed by § 11 of the Terms. In particular the Licensor does not guarantee that the security features of ShieldForge or the SEO features of SEOForge will produce a specific outcome in any given case (e.g. preventing every possible attack or reaching specific search-engine rankings).
9. Termination for serious breach
The Licensor may terminate the licence with immediate effect in the event of a serious breach of this EULA (in particular tier overage without top-up payment, reselling, publication of Pro code). Fees already paid are not refunded in such cases.
10. Final provisions
The Terms and Data Processing Agreement apply additionally. In case of conflict, the EULA prevails on questions of usage rights, the Terms prevail on questions of the contractual relationship, and the DPA prevails on data protection matters.
